Terms, plainly

These Terms are a contract between you and Live Wire Labs LLC, a South Dakota limited liability company, 3916 N Potsdam Ave #21, Sioux Falls, SD 57104, USA ("Live Wire Labs", "we"), which operates Dugatto (dugatto.com and the Dugatto apps). You accept them by checking the box when you create an account, by clicking "I agree" when we ask you to accept an updated version, or — for an account that predates that checkbox — by continuing to use Dugatto after we've asked you to accept. If you don't accept them, don't use Dugatto.

We may change these Terms. For a material change we'll email you and show an in-app notice at least 30 days before it takes effect (sooner only where required by law or to address a legal or security risk), and ask you to accept — the version you last accepted is stamped on your account, and a version bump asks everyone who hasn't caught up yet the next time they sign in. If you don't accept, you may cancel before the change takes effect. Prior versions stay available on request.

You must be at least 18 and able to form a binding contract to use Dugatto. Dugatto is not directed to anyone under 18; if we learn an account belongs to someone under 18 we'll close it and delete its data. You're responsible for what happens under your account, and we can suspend or close accounts that abuse the service.

You keep ownership of what you submit — song ideas, reference names, uploaded audio, and anything else you put in. You grant Live Wire Labs a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display it only to operate, secure and provide Dugatto to you — including sending it to our service providers, such as AI model providers, and publicly displaying a song you choose to share. The licence ends when you delete the content or your account, except for backups kept up to 30 days. You promise you have all rights needed for what you submit and how you use outputs, and that it doesn't infringe anyone's copyright, trademark, privacy or publicity rights. Content stays private unless you share it.

One exception: analyzing a reference song adds that analysis to a catalog shared with other users. The analysis describes a public recording, not your work, and you grant us the right to keep and share it that way.

If you send us feedback or suggestions, we're free to use them to improve Dugatto without any obligation to you.

As between you and us, you own the style text, lyrics, audio and masters generated for you, and we assign to you any rights we have in them. We don't promise any output is copyrightable, unique (similar output may be generated for others), or free of third-party rights. Under current U.S. Copyright Office guidance, AI-generated material isn't protected unless a human authored enough expressive elements, and registration applicants must disclose and exclude more-than-minimal AI-generated material; any registration is your responsibility. Audio you make on another service, such as Suno, is governed by that service's terms, including limits on commercial use of free-plan outputs — no Dugatto plan grants rights in it.

On the free Apprentice plan, what Dugatto makes is for your personal, non-commercial use; on any paid plan you may use it commercially.

Proof of Process, rights and registration trackers, and name-safety checks are organizing tools. They record what happened in Dugatto using our servers' timestamps. They are not legal advice, rights clearance, a trademark or publicity search, a guarantee of registration, or a certification that any record will be accepted as evidence. A passed name-safety check means only that the names of your reference songs and artists weren't found in your style or lyrics.

Don't use Dugatto to infringe anyone's rights, to impersonate real artists in a deceptive way, to generate unlawful content, or to probe, overload, scrape, or resell the service. Rate limits and plan quotas are part of the service, not a challenge. Don't reverse-engineer, copy, or benchmark the service to build a competing product, and don't disclose non-public information about how Dugatto works — its prompts, analyses, pricing internals, or infrastructure — that you learn through your access. Also don't: generate or upload sexually explicit content or anything sexualizing minors, hate or harassment; imitate any person's voice or likeness without consent; upload audio or lyrics you lack rights to; get around safety filters, quotas or the Apprentice one-song limit (including with multiple accounts); use the service or outputs to build competing models; resell access; or present generated audio as solely human-made to deceive.

Our designated agent under 17 U.S.C. §512(c)(2) is the Legal Department, Live Wire Labs LLC, 3916 N Potsdam Ave #21, Sioux Falls, SD 57104, USA, (605) 610-8223, [email protected]. Notices must include the elements of §512(c)(3)(A) — your signature, identification of the work, identification of the infringing material and information sufficient to let us locate it, your contact details, a statement that you have a good faith belief the use isn't authorized by the owner, its agent or the law, and a statement that the information is accurate and, under penalty of perjury, that you are authorized to act for the owner. Counter-notices need the elements of §512(g)(3). We restore material not less than 10 nor more than 14 business days after we receive a valid counter-notice, unless the notifier first tells our agent they have filed an action to restrain the infringing activity. We terminate, in appropriate circumstances, accounts that receive three valid notices within 12 months. Misrepresentations may create liability under §512(f).

Paid plans renew automatically. Maestro is $12/month or $120/year, plus applicable tax. We charge your payment method at the start of each billing period until you cancel. Cancel online anytime from Account → Billing → Manage or cancel subscription — the same medium you bought in, with no call to make and no one to talk to first — or by emailing [email protected] from your account address. Cancellation takes effect at the end of the current period, you keep paid features until then, and you won't be charged again. Our payment provider, Stripe, emails you a receipt for every charge. We email a confirmation of these terms and how to cancel after you subscribe; a reminder of your plan, its renewal date and how to cancel at least once a year on every plan, and — for a yearly plan — 15 to 45 days before it renews; and notice of a price increase, with cancellation instructions, no more than 30 and no fewer than 7 days before the new price applies to you. If a payment fails we may retry and, if it stays unpaid, move you to Apprentice — your library, songs and takes stay as they were; you just can't start new ones or use paid tools until you resubscribe. Saved masters are the one exception: a master saved on a paid plan is removed 30 days after that plan lapses unless you resubscribe first, so download anything you want to keep. Plan switches take effect when you confirm them; any proration is shown first. Fees paid aren't refundable except as stated below or required by law.

Prices are in US dollars, and exclude tax: any sales tax, VAT or GST that applies where you are is added at checkout. Paid plans include up to 120 mastering uploads per billing month (per calendar month on yearly plans) — each upload you start counts, even if you don't finish the master. Storage for audio you upload is 1 GB on Maestro and 10 GB on Impresario; renders count toward it. Render top-ups (20 renders for $5, paid plans only) are one-time purchases that bank and never expire while your account is open. Roadmap features (like Front Office) aren't part of what you buy until they ship.

Unspent top-up renders are refundable within 14 days of purchase; a refund removes only those renders. If you were charged in error or a paid feature didn't work, contact us within 14 days of the charge. If we refund a subscription charge, your subscription is cancelled and paid features end on the refund date. While a chargeback is open, we may pause paid features.

TO THE FULLEST EXTENT PERMITTED BY LAW, DUGATTO AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, ROYALTIES OR DATA. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$50. Nothing here limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or your non-waivable consumer rights.

To the extent the law allows, you will defend and indemnify Live Wire Labs against third-party claims, and related losses and reasonable legal fees, arising from your content, your use or release of outputs, or your breach of these Terms or the law.

We may suspend or terminate access for material breach, legal requirement, or to protect the service or others; where practical we'll tell you why and give you a chance to fix it. Suspension or termination stops future charges. If we terminate without cause or discontinue a plan, we refund prepaid fees for the unused period. Deleting your account ends your subscription immediately; unused top-up renders are forfeited. Ownership, disclaimers, limits, indemnity and dispute terms survive.

If you're a consumer in the EEA or the UK, you may withdraw from a paid plan or top-up within 14 days of buying it, without giving a reason. Tell us by any clear statement — email [email protected] — or by using the form below. We refund you within 14 days of being told, to the payment method you used.

If you ask us to start during those 14 days: a subscription is a service, so you lose the right to withdraw once it has been fully performed, and if you withdraw partway you pay a proportionate amount for the part already provided. A top-up is digital content supplied immediately, so you expressly consent to us supplying it at once and acknowledge that you lose the right to withdraw from it as soon as we do.

Model withdrawal form — complete and return this form only if you wish to withdraw from the contract. Dugatto isn't affiliated with or endorsed by Suno, Google, YouTube, or any artist named in an analysis; names are used only to identify their products and works. Where reference playback uses YouTube, Google's Privacy Policy applies: policies.google.com/privacy.

These Terms are governed by the laws of the United States and South Dakota, without regard to conflict-of-laws rules. Before filing a claim, contact [email protected] and give us 60 days to resolve it informally. Any dispute not resolved informally will be brought in the state or federal courts located in Minnehaha County, South Dakota, and you and we each consent to their jurisdiction. You may instead bring an individual claim in small-claims court where you live. Nothing here waives a right you can't waive under EU/UK consumer law, and EEA/UK/Swiss consumers keep their local courts.

Civ. Code §1789.3).

This is the entire agreement between you and Live Wire Labs about Dugatto. If any part of it is unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You can't assign these Terms; we may, in a merger or sale, with notice. Neither of us is liable for delay caused by something outside our reasonable control. You confirm you're not in an embargoed country or on a restricted-party list, and won't use Dugatto where it isn't offered. Questions: [email protected].
